Define the role
Distribution can involve supplying resellers, managing a territory or coordinating a sales channel. Those arrangements are different from purchasing one retail subscription. State the activities you propose, the markets involved and whether you expect any contractual exclusivity.
Do not infer exclusivity
A distributor label does not establish an exclusive territory, a guaranteed margin or authority to represent another content owner. Those rights require a specific agreement. Identify the contracting parties, permitted brand use, commercial scope and any limits on the proposed relationship.
Agree the operating process
Clarify how account provisioning, reseller onboarding, support escalation, renewals and commercial disputes will be handled. If personal information is exchanged, agree what is needed and who is responsible for it.
Prepare the proposal
- Your organization and operating country.
- The territory and channel you want to develop.
- Your proposed responsibilities and support capabilities.
- The commercial model you want discussed, including any exclusivity request.
